This Terms of Service Agreement (the "Agreement") is between Emerald Coast Legal Partner L.P. ("ECLP"), a Pennsylvania limited partnership, and the individual or entity using ECLP’s services (the "Customer"). Collectively, ECLP and Customer are referred to as the "Parties." By using ECLP’s services, Customer agrees to this Agreement.
ECLP will provide process serving, skip tracing, document filing, and related services (the "Services") as ordered through its website.
ECLP will:
Protect Customer’s confidential and personally identifiable information with at least the same safeguards used for its own data, adhering to industry standards.
Require confidentiality agreements from all personnel handling Customer data.
Perform background checks on employees and contractors per company policy.
Notify Customer of any data breach within 24 hours of confirmation.
Customer may reasonably inspect ECLP’s facilities, systems, and procedures to assess compliance with its internal policies.
Standard Customers pay prices displayed at order placement.
Credit Terms (if approved by ECLP): Payment is due per agreed credit terms.
Late Payments: Accrue interest at 1.5% per month (or the maximum legal rate).
Collection Costs: Customer covers reasonable collection expenses, including attorney fees.
Must maintain an active credit card on file.
Authorize ECLP to charge the card for weekly invoices upon issuance.
Failure to keep a valid card may result in revoked Professional Status.
If an order is canceled, Customer pays for work completed.
No refunds after the first field attempt.
ECLP is not liable for:
Loss of a claim/case, indirect, consequential, or incidental damages.
Actions taken (or not taken) on orders with statutes of limitations within one month of expiration at receipt.
Total liability is capped at fees paid by Customer in the past 3 months.
Claims for data breaches cannot exceed ECLP’s insurance coverage limits.
This Agreement is governed by Pennsylvania law.
Disputes must be filed in federal or Commonwealth Courts of Delaware County, PA.
If any provision is deemed invalid, it will be amended to match the original intent as closely as possible, leaving other terms unaffected.
ECLP may assign its rights/obligations upon notice to Customer, effective upon receipt.
Waivers must be in writing and apply only to the specified breach.
Modifications require mutual written agreement.
This Agreement (including any exhibits) is the complete understanding between the Parties, overriding prior agreements. In case of conflict, these terms control.
